1. Scope, provider and order of precedence
These Terms apply to the use of x25pronto.at, customer accounts, guide prices, bookings, confirmed transport orders, electronic communications, the driver portal, courier partnerships and the referral programme. Unless a specific offer or individual agreement expressly states otherwise, the contracting party is Management Consulting Mayr, Waldaustrasse 2, 9500 Wil SG, Switzerland. The names x25pronto, x25pronto Austria and x25pronto.at refer to the service operated by Management Consulting Mayr and not to a separate legal entity.
For a specific order, individually confirmed order data and individually agreed terms take precedence over these general provisions. For courier partners, partner-specific terms stored in the driver portal or database and displayed for the relevant assignment take precedence over standard values. Mandatory applicable law, including mandatory Austrian, Swiss and international consumer and carriage rules where applicable, remains reserved.
2. Website, guide price, availability and contract formation
Website content, availability displays, guide prices, automatically calculated routes, travel times, requested delivery times, maps, address suggestions, portal statuses and other technical displays generally do not constitute acceptance of a transport order or a guarantee of service. Route, vehicle class, shipment data, capacity and time window may be checked before performance. A transport order becomes binding only through express confirmation or a clear binding confirmation documented in the designated x25pronto system.
Stripe processes payment data for card payments and other supported payment methods. Capturing or authorising a payment method, a successful technical checkout or a payment reservation alone does not mean that the transport order has already been accepted. The documented payment status together with the binding order confirmation is decisive. Obvious price, calculation, input or transmission errors may be corrected before binding confirmation.
3. Services and approved vehicle classes
x25pronto arranges, organises and performs direct, express and overnight courier trips in Austria. Depending on the approved vehicle and weight class, a car, van or van XL is used. Bookable shipments include documents, small consignments, product samples, spare and service parts and other expressly approved transports up to 1,000 kg. The vehicle class, payload, dimensions, safe loading capacity and confirmed order data approved for the specific booking always prevail.
Information, examples or general service descriptions on individual website pages do not automatically extend a specific booking approval. x25pronto may reject an enquiry or require additional clarification if weight, dimensions, contents, value, packaging, insurance, legal permissibility or safe performance have not been sufficiently established.
4. Direct, express and overnight trips; time information
Pickup and requested delivery times are planned on the basis of the available information, real road travel time, routing reserve, handover time and operational availability. Overnight means planned delivery on the following calendar day within the enabled time windows. Time information and requested times are planning targets, not strict guarantees independent of circumstances. Traffic, weather, closures, official measures, accidents, breakdowns, waiting times, unavailable contacts or other circumstances outside reasonable control may cause deviations.
5. Permitted, excluded and specially declarable shipments
Customers must state contents, weight, dimensions, value and special characteristics completely and accurately and provide transport-safe packaging. Illegal goods, weapons, cash, live animals, inadequately packed goods and dangerous, temperature-controlled, regulated or otherwise special goods are excluded unless expressly approved in advance. Medical, diagnostic, pharmaceutical or other special shipments are accepted only after the specific transport, packaging, safety, insurance and handover requirements have been clarified and approved before the order is placed.
Unusually high values, exceptional risks, special storage or handover requirements and characteristics relevant to risk assessment or insurance cover must be expressly disclosed before booking. A general booking option or automatically calculated price does not constitute implicit acceptance of an undisclosed special risk.
6. Customer cooperation, account data and responsibility
Pickup and destination addresses, contacts, accessibility, time windows, shipment data, invoice data and handover instructions must be complete, current and correct. Disadvantages and additional costs arising from missing or incorrect information, inaccessible handover locations, unavailable contacts, waiting times, empty trips or subsequent changes may, where legally permissible and substantiated, be charged additionally.
Account holders are responsible for keeping their credentials confidential and for actions through their account to the extent attributable to them. Credentials must not be disclosed to unauthorised third parties. Suspected unauthorised use must be reported immediately. Company, contact, VAT/UID, invoice, vehicle and other contract-relevant data must be kept current.
7. Prices, discounts, VAT, payment and electronic documents
The price displayed before completion or for the specific assignment in EUR, including displayed surcharges, discounts and VAT, is decisive. Promotional, new-customer or other discounts apply only under the displayed conditions and create no entitlement to future discounts. Net, VAT and gross amounts are shown separately in documents.
Once payment has been finally captured and the booking has been bindingly confirmed, the agreed transport price is due. Invoices, credit notes and other documents may be provided electronically in the account, driver portal or by email. For a cancellation initiated exclusively by the customer, there is no entitlement to cash repayment or refund of the already invoiced transport price unless mandatory law requires otherwise; section 15 applies.
8. Performance by independent courier partners
x25pronto may perform approved orders itself or offer or assign them to suitable, vetted independent courier partners. Where Management Consulting Mayr / x25pronto is the contracting party for the confirmed transport order, the use of a courier partner does not affect mandatory statutory customer rights. Statutory and contractual recourse rights of Management Consulting Mayr / x25pronto against the courier partner actually responsible remain reserved.
Courier partners remain legally and economically independent. Registration, driver-portal activation, receipt of individual order offers or repeated cooperation does not in itself create employment, a partnership, franchise or general authority to represent Management Consulting Mayr / x25pronto. Courier partners may not make commitments, price changes, acknowledgements of liability or other obligations in the name of Management Consulting Mayr / x25pronto unless expressly authorised.
9. Application, vetting, driver portal and assignment eligibility
An application, registration or preliminary approval as a courier partner creates no entitlement to acceptance, activation or continuation of cooperation. x25pronto may review company, contact, VAT identification or other business-status evidence, invoice, vehicle, insurance and other information and evidence required for cooperation and may request further documents or refuse or suspend activation where information is missing, contradictory, outdated or insufficient.
Driver-portal activation enables technical use of the released functions and possible consideration for suitable assignments. It does not guarantee a minimum number or volume of assignments, particular routes, utilisation or turnover. Availability does not create an entitlement to a specific assignment.
10. Order offers, acceptance, assignment and courier-partner duties
Order offers, invitations or notifications sent through the driver portal, email, push or other supported channels are initially invitations to review and accept and are not guaranteed assignments. A binding assignment is determined by the order status documented in the x25pronto system. Where several suitable partners are interested, an order may have been assigned elsewhere before a later acceptance is technically processed.
By binding acceptance or assignment, the courier partner undertakes to perform the order lawfully, with the required commercial and transport-related care and in accordance with the confirmed order data. The courier partner is independently responsible for a suitable, roadworthy and legally usable vehicle, required driver and vehicle authorisations, tax and social-security obligations, compliance with applicable traffic and operating rules and adequate own insurance. Navigation or route suggestions are aids; responsibility for safe and lawful driving and route choice remains with the driver.
If an accepted order cannot be performed or cannot be performed as agreed, disruptions, accidents, damage, material delays, deviations or other relevant events must be reported immediately through the designated channels. Passing an assignment to third parties not approved by x25pronto is not permitted without express consent.
11. Order data, confidentiality and digital documentation
Courier partners receive the order, contact, route, time and shipment information required for a specific trip. Such information may be used solely for performance and processing of the relevant order and may not be used for the partner's own advertising, private contact or unrelated purposes.
System-recorded order statuses, timestamps, portal actions, confirmations, messages, payment statuses, invoice data and uploaded pickup and delivery evidence including photos may be used as documentation for contract performance, quality assurance, abuse prevention, complaint handling, accounting and enforcement of legal rights. Mandatory rules of evidence and the parties' right to submit counter-evidence remain unaffected.
12. Partner terms, trip completion, complaints and payout
Partner terms, evidence, complaint status and accounting data are processed for assignment and payout. Individual terms stored in the database or driver portal take precedence over standard values. Unless different individual terms are stored, the standard partner share is … % of the transport price stored at assignment; the remaining standard share of … % is retained by x25pronto for brokerage, platform, organisation, administration and processing. The tax treatment of partner settlements depends on the actual tax circumstances and the stored business and tax information; any legally required VAT, reverse-charge or comparable tax treatment remains reserved.
After proper trip completion, the required evidence is recorded. The standard contractual complaint period is … days from completion under the current database terms; mandatory statutory rights are not shortened. In the event of a complaint, missing evidence, unresolved deviation or other open review matter, partner payout may be held until documented clarification. Standard partner payout is eligible for release no earlier than … days after trip completion once the complaint period has expired, required evidence is complete and no unresolved complaint remains.
13. Handover, authorised recipients and evidence
The shipment is handed over to the agreed recipient or a person reasonably authorised to receive it at the destination unless otherwise agreed. Customers must ensure reachable contacts and suitable handover conditions. Failed delivery, return transport or additional waiting time may cause additional charges. Pickup and delivery evidence, photos and other documented handover information may be stored for contract processing and complaint handling.
14. Timings, traffic, force majeure and technical services
x25pronto plans confirmed orders with reasonable commercial care. Traffic, weather, closures, official measures, breakdowns, accidents, power or network outages, cyberattacks, disruptions to payment, card, routing, map, email, push, mobile or hosting services, incorrect customer data or other events beyond reasonable control may cause delays or temporary outages. Where possible, an appropriate solution will be coordinated.
The website, app, driver portal, email, push, maps, routing, AI Bot, payment services and other technical components may be temporarily unavailable. x25pronto cannot guarantee uninterrupted availability or error-free transmission by independent third-party services. A technical display, sent email or push notification does not replace the binding order status documented in the x25pronto system.
15. Changes, cancellation and crediting
Changes after confirmation require renewed review. A customer cancellation of a bindingly confirmed and paid booking must be sent in writing by email to info@x25pronto.at and include the order or booking number in the format X25-YYYYMMDD-##### and the reason. For voluntary crediting, the cancellation email must arrive before the agreed pickup time and performance must not have started.
For such a customer cancellation, the already invoiced gross transport price is not paid out or refunded to the payment method. Instead it may be credited once against the next suitable trip of the same customer or account if that replacement trip is bindingly booked and performed within four weeks after receipt of the cancellation email. Any higher replacement price remains due; if the replacement trip is cheaper, any residual amount expires when the replacement trip is performed. If no replacement trip is used within four weeks, the credit expires and the amount already received remains with Management Consulting Mayr / x25pronto as the agreed cancellation compensation.
After performance has started or where the cancellation declaration arrives only after the agreed pickup time, there is no entitlement to this credit. Mandatory statutory rights and cases in which x25pronto itself cannot provide a bindingly confirmed service and a reversal is required by law or contract remain unaffected.
16. Liability and allocation of responsibility
Management Consulting Mayr / x25pronto is liable under mandatory statutory provisions. Liability for unlawful intent or gross negligence and other mandatory liability is not excluded. For confirmed contracts of carriage, mandatory Austrian, Swiss and international carriage-law provisions, including any mandatory UGB or CMR rules where applicable, remain reserved. Where x25pronto engages another carrier or courier partner and is required by mandatory law to answer to the customer, recourse rights against the partner actually responsible remain expressly reserved.
To the extent permitted by law, x25pronto is not liable for damage predominantly caused by incorrect, incomplete or late information from the customer or recipient, inadequate packaging, undisclosed characteristics or special risks, prohibited shipment contents, lack of access, unavailable contacts, customer instructions or circumstances that could not have been avoided even with the care of an ordinary carrier. To the extent permitted by law, liability for slight negligence, indirect or consequential damage and loss of profit is excluded or limited to the extent required by mandatory law.
No guarantee beyond mandatory law is provided for general website information, non-binding guide prices, technical planning values, AI Bot responses or third-party content. Receipt of a complaint, the presence of a photo, a portal status or a technical system message does not by itself constitute acknowledgement of liability or damage.
17. Insurance and courier partners' own insurance
Management Consulting Mayr / x25pronto may maintain carrier and business liability insurance for its own activities. Statements about insurance cover refer only to the actual scope of cover, policy conditions, exclusions, limits and the specific insured event. They are not a promise that every conceivable loss or special risk is covered.
Insurance held by Management Consulting Mayr / x25pronto does not replace the independent insurance and risk provision of an independent courier partner. Before accepting an assignment, each courier partner must independently verify and ensure that its own business, motor-vehicle and, where required for its activity, carrier/transport insurance is sufficient for the specific order. The driver-portal fee or partner activation does not create an insurance contract for the partner and does not generally insure the partner's entrepreneurial risks through x25pronto.
18. Account activation, security, suspension and archiving
Registration requires the designated acceptance of the Terms and Privacy notice. A newly created account may remain inactive until successful email verification or activation. Activation and security links may be single-use, time-limited and technically revocable. Registration alone creates no entitlement to activation of specific functions or services.
x25pronto may, where objectively justified and legally permissible, temporarily suspend, restrict or archive accounts and portal access, particularly in the event of security risks, suspected misuse, incorrect or outdated information, missing required evidence, contractual breaches, manipulation attempts, prohibited communication or termination of the contractual relationship. Statutory retention, accounting and evidence obligations remain unaffected by account suspension or deletion.
19. Privacy and electronic communications
Personal data is processed in accordance with the Privacy Policy. Contract, booking, account, payment, security and portal communications may be sent electronically to the stored contact details or made available in the account or driver portal. Confirmation links and single-use or time-limited tokens may be used for account activation, email verification, password and security processes.
Account activation or email verification is not automatically consent to consent-dependent advertising. Where consent or confirmation is required for further marketing or promotional communications, such communications are sent only through the legally permissible route. Unsubscription or withdrawal applies to future consent-dependent communications; necessary contract, account, security, booking and order communications remain separate.
Email, push and other electronic message delivery partly depends on independent networks and providers. A send timestamp in the x25pronto system therefore does not guarantee a particular receipt time. For binding assignments and portal statuses, the status documented in the x25pronto system is decisive.
20. Referral programme
The referral programme is available only through the designated portal function and to the extent currently released. Referrals may concern private individuals or companies; a recipient email is required for technical allocation. Referrers must confirm the programme rule displayed in the portal and may not submit third-party address lists, bulk contact data, obviously unlawful data or data for abusive purposes.
A referral is considered only if it is clearly recorded by the system and qualifies under the conditions displayed in the portal for that referral. A reward entitlement arises only when all applicable conditions have been fulfilled, the relevant status has been reached and the reward has been released by the system. No reward is due in particular for self-referrals, artificially created or duplicate accounts, manipulation, circumvention of technical rules, duplicates, abusive multiple allocation, invalid contact data or other programme misuse.
For competing or multiple referrals, the valid referral that can be clearly allocated under the system records is decisive. Reward, percentage or programme terms displayed in the portal may be changed for future referrals or the programme may be ended prospectively; already finally accrued and released entitlements remain reserved.
21. Referral recipients and activation
A portal-triggered referral may result in an invitation or activation message to the recipient address provided. For a new user, an inactive account or activation process may initially be created; full activation takes place only after successful confirmation through the designated activation link. For an existing account, the existing login or account path may be used instead. Activation of a referred person does not by itself constitute marketing consent or an automatic reward entitlement.
x25pronto may suppress invitations, referrals or promotional communications where an account is archived, blocked, marked as not contactable or unsubscribed from the relevant communication, or where legal or technical reasons prevent sending.
22. Misuse, automated access and platform protection
Prohibited conduct includes circumvention of security or access restrictions, unauthorised use of third-party accounts, automated bulk registrations or referrals, manipulation of order, click, open, reward or payment statuses, harmful interference with the website, app or driver portal and automated extraction or use of protected portal or customer data outside the intended use. x25pronto may technically review, block and, where necessary, document suspicious activity.
23. AI Bot and general information
The AI Bot, FAQ, blog, help texts and general website information are supplementary information functions. They do not replace a binding order confirmation or individual legal, tax, insurance, medical or other professional advice. In case of conflict, confirmed order data, individual agreements, these Terms and mandatory law prevail.
24. Driver portal and courier-partner terms
The currently applicable standard values for the driver portal and courier partners are loaded from the stored terms. Individual terms agreed for a partner and displayed in the driver portal take precedence over standard values.
The annual driver-portal fee is currently net Loaded from database …. The driver portal is offered exclusively within an independent business courier partnership. For a business recipient established in Austria, the driver-portal fee is therefore invoiced, where the statutory requirements are met, as a net amount without Austrian VAT; the recipient is liable for Austrian VAT under section 19(1) of the Austrian VAT Act 1994 (UStG 1994) (reverse charge). The courier partner is responsible for correctly declaring and paying the VAT for which it is liable and must provide complete and accurate business and tax information required for the VAT treatment and notify changes without delay. If the reverse-charge requirements are not or cease to be met, or information proves incorrect, legally required invoice corrections, tax corrections and additional charges remain reserved.
The standard partner share per completed trip is …% of the transport price stored at assignment; the remaining standard x25pronto share is …%. The stored complaint period is … days and the stored payout period is … days.
The driver-portal fee provides technical access for the displayed period. It is not payment for a guaranteed quantity of assignments and does not promise turnover, utilisation, territorial exclusivity or exclusive cooperation.
25. Changes to these Terms, governing law and jurisdiction
x25pronto may amend these Terms for future uses, bookings, programme participation or renewals where objectively necessary and legally permissible. Transport orders already bindingly concluded are not retroactively worsened by later changes unless mandatory law or a valid individual agreement requires otherwise.
Swiss law applies to the extent a choice of law is permitted. Mandatory provisions of Austrian, European or international law, including mandatory consumer and carriage law, remain unaffected. For consumers, this choice of law does not deprive them of the protection of mandatory provisions of the country of their habitual residence where that protection would apply in the absence of the choice. For entrepreneurs, legal entities under public law and special public-law funds, Wil SG, Switzerland, is agreed as the place of jurisdiction to the extent a jurisdiction agreement is legally permissible. Mandatory venues remain reserved.
If a provision is wholly or partly invalid, the remaining provisions remain unaffected to the extent permitted by law; the statutory rule applies instead of the invalid provision.
